Terms and Conditions

1) Scope

1.1 These General Terms and Conditions (GTC) of ACQUA REAPER GmbH, Rheingaustraße 27, 12161 Berlin, email: office@acquareaper.com (hereinafter referred to as the “Seller”), apply to all contracts concluded by a consumer or business (hereinafter referred to as the ‘Customer’) with the Seller in respect of the goods offered in the online shop at acquareaper.de, including contracts for recurring deliveries (subscription, Clause 9). Any conflicting terms and conditions of the Customer are hereby rejected, unless expressly agreed otherwise.

1.2 A consumer is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor related to their self-employed professional activity (Section 13 of the German Civil Code (BGB)). A trader is a natural or legal person, or a partnership with legal capacity, who, when entering into a legal transaction, is acting in the course of their commercial or self-employed professional activity (Section 14 of the German Civil Code (BGB)).

1.3 The seller delivers exclusively to delivery addresses in Germany.

2) Language of the contract

The contract may only be concluded in German.

3) Conclusion of the contract

3.1 The presentation of the goods in the online shop does not constitute a legally binding offer, but rather an invitation to the customer to make an offer.

3.2 The customer adds items to their basket and, at the checkout, enters their name, delivery address and email address (company name and telephone number are optional). They can enter a discount code and choose whether to order the items as a one-off purchase or as a subscription. Before submitting the order, the customer can view all items, any deposit, delivery charges, any discount and the total amount, and can correct their entries using the usual keyboard and mouse functions. By accepting these Terms and Conditions and clicking on the ‘Place order’ button, the customer makes a binding offer to purchase the items in their basket. They are then redirected to the payment page of the payment service provider Mollie (Clause 6). The seller shall confirm receipt of the order immediately by email (order confirmation). The order confirmation does not constitute acceptance of the offer.

3.3 The seller accepts the offer by sending an order confirmation by email. The seller sends the order confirmation as soon as the payment service provider notifies them that payment has been received; the contract is concluded upon the customer’s receipt of the order confirmation.

3.4 If the customer does not complete the payment or if the payment fails, no contract shall be formed. The customer is no longer bound by their offer if they have not received an order confirmation within five days of submitting the order; if they have chosen bank transfer as the payment method, this period is extended to fourteen days. If a payment is received after the order is no longer being processed, the seller shall refund the amount via the payment service provider.

3.5 The customer must ensure that the email address provided is correct and that emails from the seller and its service providers can be received at that address, particularly where spam filters are in use.

4) Storage of the contract text

The seller stores the order details. The order confirmation sets out the goods ordered, prices, deposit, delivery charges, discount, total amount and delivery address, as well as the cancellation policy including the model cancellation form, and refers to these Terms and Conditions. The customer can check the status of their order via the link in the order confirmation. There is no customer account. The customer may view, print or save these Terms and Conditions at any time on this page.

5) Prices, deposits and delivery charges

5.1 All prices are final prices in euros, inclusive of statutory VAT.

5.2 The drinks are sold in single-use returnable cans. In addition to the price, the statutory one-way deposit of €0.25 per can applies (€6.00 per tray of 24 cans). The deposit is shown as a separate line item in the shopping basket, at the checkout and in the order confirmation, and is not subject to any discount. Empty cans can be returned anywhere where one-way deposit cans are accepted.

5.3 In addition, there are delivery charges per order or per subscription delivery. These pack sizes are waived once a certain number of pack sizes is reached; a tray (24 cans) counts as one pack size, as does a gift box. The amount and threshold are listed on the ‘Delivery & Payment’ page and are displayed in the shopping basket and before the order is submitted.

6) Payment

6.1 Payments are processed by the payment service provider Mollie B.V., Keizersgracht 126, 1015 CW Amsterdam, Netherlands (hereinafter ‘Mollie’). The payment methods available (PayPal, credit card, Klarna, Apple Pay, Google Pay, Sofortüberweisung) are shown on Mollie’s payment page. It is not possible to purchase on account directly from the seller.

6.2 The total amount is due upon submission of the order. The terms and conditions of the chosen payment provider (e.g. PayPal, Klarna), which are displayed on the payment page, also apply. If the customer selects a payment method where the payment is initially only authorised (e.g. Klarna), the seller will collect the amount immediately after authorisation.

6.3 The seller will dispatch goods only upon receipt of payment.

7) Delivery

7.1 The seller will deliver to the delivery address in Germany specified at checkout, via GLS from its warehouse in Weyhe. Collection in person is not possible.

7.2 The delivery time is stated in the online shop and begins upon receipt of payment.

7.3 A maximum of 24 packs (trays and gift boxes combined) may be ordered per order. For larger quantities, the customer may contact the seller via the contact form.

7.4 The gift box is always dispatched in a separate parcel. If the customer orders the gift box and trays together, they will receive two parcels; delivery charges are only incurred once.

7.5 If the goods cannot be delivered and are therefore returned to the seller, the customer shall bear the costs of the unsuccessful delivery. This shall not apply if the customer is not responsible for the circumstances that led to the goods being undeliverable, if they were temporarily unable to accept delivery, unless the seller had given the customer reasonable advance notice of the delivery, or — with regard to the costs of the initial dispatch — if the customer validly exercises their right of withdrawal.

8) Discount codes

8.1 Discount codes can only be redeemed during the specified period and only once; one code may be entered per order. The terms and conditions of a code — such as a minimum order value, a limit of one redemption per email address, restriction to the first order or to specific items, and whether it applies to subscriptions — are stated alongside the code. The checkout page will indicate whether a code is valid before the order is submitted.

8.2 A discount only reduces the price of the goods; it never reduces the deposit. A free item granted via a code is subject to its own deposit. Discount codes cannot be redeemed for cash and cannot be applied retrospectively to an order that has already been dispatched.

8.3 If the customer cancels an order on which a discount was applied using a code, the seller shall refund the amount actually paid.

9) Subscription

9.1 The customer may order goods on a subscription basis. They select the varieties, quantity and a delivery frequency of 2, 4, 6 or 8 weeks. Upon acceptance of the first order (clause 3.3), a contract for recurring deliveries is concluded; the first delivery is processed as a one-off order.

9.2 The Seller grants the subscription benefit shown in the online shop at the time of purchase on the price of the goods — not on the deposit or delivery charges. Delivery charges apply to each subscription delivery in accordance with clause 5.3. The Seller charges for each delivery at the prices valid in the online shop on the date of delivery.

9.3 The customer pays for the first delivery when placing the order. In doing so, they authorise the seller to collect payment for subsequent deliveries on the respective delivery dates using the payment method specified at the time of ordering or the mandate provided (for example, credit card, PayPal or SEPA direct debit). If the chosen payment method does not allow for recurring payments, the first delivery will be made and the subscription will be paused; the seller will inform the customer by email.

9.4 No later than three days before each delivery, the customer will receive an email stating the delivery date, product varieties and total amount. In the case of payment by SEPA direct debit, this email shall be deemed to be advance notice (pre-notification); the customer agrees to the reduction of the notice period to three days.

9.5 By clicking the link in each subscription email, the customer can at any time skip or reschedule individual deliveries, change the product types, quantities and delivery frequency, and pause or resume the subscription. A customer account is not required for this.

9.6 The subscription has no minimum term. The customer may cancel it at any time without notice: via the link in every subscription email, via the ‘Cancel contracts here’ page (acquareaper.de/abo/kuendigen/) or in writing (e.g. by email to office@acquareaper.com). The cancellation takes effect immediately; the seller will confirm it by email. Any delivery for which payment has already been taken at the time of cancellation will still be dispatched. If a payment is nevertheless taken after cancellation, the seller will refund it.

9.7 If a direct debit fails, the relevant delivery will not be dispatched and the subscription will be paused. The seller will inform the customer by email; the customer can resume the subscription via the link.

10) Right of withdrawal

Consumers are entitled to a statutory right of withdrawal. Further details can be found in the withdrawal policy.

11) Retention of title

The goods remain the property of the seller until full payment has been made.

12) Liability for defects

12.1 The statutory provisions governing liability for defects shall apply.

12.2 The customer is requested to report any goods with obvious transport damage to the delivery driver and to inform the seller. Failure to do so shall not affect the customer’s statutory or contractual rights.

13) Applicable law

The law of the Federal Republic of Germany shall apply, to the exclusion of the UN Convention on Contracts for the International Sale of Goods. In the case of consumers, this choice of law shall apply only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of the country in which the consumer has their habitual residence.

14) Jurisdiction

If the customer is a trader, a legal entity governed by public law or a special fund governed by public law with its registered office in Germany, the exclusive place of jurisdiction for all disputes arising from this contract shall be the seller’s place of business. If the customer is based outside Germany, the same shall apply if the contract is attributable to their professional or commercial activities. In such cases, the seller is also entitled to bring proceedings before the court at the customer’s place of business.

15) Consumer dispute resolution

The seller is neither obliged nor willing to take part in dispute resolution proceedings before a consumer arbitration board.
